These Terms of Service ("Terms") are an agreement between you — the business registering an account on Vendly, and every staff member you authorize to use it — and Vendly ("Vendly," "we," "us," "our"). By creating an account, confirming your email, or using Vendly in any way, you agree to be bound by these Terms and by our Privacy Policy.
If you are agreeing to these Terms on behalf of a business, you confirm that you have the authority to bind that business, and "you" in these Terms refers to that business.
Vendly is a point-of-sale and business management platform for pharmacy, restaurant, retail, and hybrid businesses. Depending on your plan and business type, it may include inventory management, sales processing, staff and role management, kitchen and table management, QR-code customer ordering, customer relationship tools, WhatsApp messaging, expense tracking, and reporting.
Vendly is a tool to help you run your business — it does not itself buy, sell, or take ownership of any goods, and it is not a party to any sale you make to your customers.
You must provide accurate business and personal information when registering, and keep it up to date. You are responsible for everything that happens under your account, including actions taken by staff you invite or PIN-authorize — it is your responsibility to deactivate access promptly when a staff member leaves.
You must be legally able to operate the type of business you register (for example, holding any pharmacy licenses required in your jurisdiction). Vendly does not verify licenses on your behalf and is not responsible for your regulatory compliance.
Vendly is offered on a subscription basis, billed monthly or annually as selected at signup. Trial periods, if offered, convert to a paid subscription automatically unless cancelled before the trial ends.
Some features (for example, WhatsApp messaging) draw down from a prepaid wallet balance rather than your subscription. Wallet funds are non-refundable except where required by applicable law, and unused balances do not expire unless stated otherwise at the time of purchase.

Where you opt in to accept card or bank transfer payments through Vendly, those payments are processed by our third-party payment processor (currently Paystack). Vendly does not store your customers' full card details. Funds settlement timing, processor fees, and dispute handling are governed by that processor's own terms in addition to these Terms.
You are responsible for issuing accurate receipts and for any tax obligations arising from sales processed through Vendly, in every jurisdiction in which you operate.
If you use Vendly's WhatsApp broadcast features, messages are sent through Meta's WhatsApp Business Platform and are subject to Meta's own policies. You are responsible for only messaging customers who have validly opted in, and for honoring opt-out ("STOP") requests. Sending unsolicited marketing messages through Vendly may result in suspension of your WhatsApp access, your Vendly account, or both.
For pharmacy and hybrid businesses, Vendly provides tools to record information such as NAFDAC numbers, batch numbers, expiry dates, and controlled-substance prescription details. These tools are provided to help you keep records — they do not constitute legal or regulatory advice, and using them does not itself guarantee compliance with NAFDAC, PCN, or any other regulatory body's requirements. You remain solely responsible for regulatory compliance.
You own the business, inventory, transaction, and customer data you put into Vendly. You grant us a license to host, process, and display that data solely to provide the service to you. See our Privacy Policy for how we handle personal data, including your customers' data that you collect through Vendly.
You are responsible for having a lawful basis to collect and process your own customers' personal data (names, phone numbers, purchase history) through Vendly, and for honoring any data-subject rights requests they make to you directly.

We aim to keep Vendly available and reliable but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages (including our database, payment, or messaging providers), and factors outside our control may affect availability. Where offline mode is supported, locally-stored sales sync once connectivity returns, but we do not guarantee zero data loss in extended offline periods.
To the maximum extent permitted by applicable law, Vendly is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, arising from your use of Vendly. Our total liability for any claim relating to Vendly is limited to the amount you paid us in the 12 months before the claim arose.
Nothing in these Terms limits liability that cannot lawfully be limited under the law of your jurisdiction (for example, liability for fraud, or statutory consumer-protection rights that cannot be waived).
You may cancel your subscription at any time from Settings. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees due, or use Vendly in a way that risks harm to us, other users, or their customers. On termination, we will retain your data for [retention period — e.g. 30/90 days] to allow export, after which it may be permanently deleted.
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice before they take effect. Continued use of Vendly after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws principles, except where mandatory local consumer- protection or data-protection law in your country of operation (including the United States, United Kingdom, or Ghana) requires otherwise for users located there — in which case that local law applies to the extent required.
